WITHDRAWAL OF A RESOLUTION PROPOSED AT THE COMBINED SHAREHOLDERS’ MEETING ON 22 SEPTEMBER 2017

The agenda of the combined shareholders’ meeting to be held on 22 September 2017 proposes to authorize the Board of Directors to grant free shares of the Company to the employees (resolution No. 31) as well as to Ubisoft’s executive corporate officers (resolution No. 32), within a maximum of, respectively, 1% and 0.14% of the share capital of the Company. 

The Board of Directors has decided to limit the maximum number of free shares to be granted to 1% of the share capital of the Company, as of this year and going forward. In order to carry out this commitment, while continuing to reward as a priority the employees of Ubisoft at a level in line with the successes achieved, the Board of Directors has decided to withdraw the proposed resolution No. 32[1] related to the allocation of free shares to Ubisoft’s executive corporate officers.  

The Board of Directors remains convinced that being in a position to offer to employees a share component as part of their overall compensation contributes to align the interests of both the shareholders and the employees, and is a key component of the competitive compensation policy for the talents of Ubisoft.
